Understanding unlocked shares

On 12 September 2024, we gave all our colleagues 150 Rolls-Royce shares, for free. It was our gift to you. Since then, we've been on a journey to become the high performing, competitive, resilient and growing business that we have the potential to be – and this is reflected in our share price. Thank you for the part you have played in this progress – we're delighted to reward you when we win together.

In your country, we can't award shares because of local compliance restrictions, complexity or cost. We therefore gave you the equivalent as a cash award.

You're about to reach an exciting milestone! Your Shares: Gifted will unlock on 12 September 2025. This means that you'll receive your cash, equivalent to 150 Rolls-Royce shares.

How it works

On 12 September 2025, Your Shares: Gifted will unlock and you'll receive the cash equivalent of 150 shares.

The value of your cash award will be subject to income tax, social security, and any other applicable local taxes. These will be automatically deducted, and the remaining cash balance will be included in your next available payroll.

You do not need to take any action to receive your cash value.

Your Shares: Gifted was an award from Rolls-Royce for all colleagues in September 2024. We gave 150 Rolls-Royce shares to everyone who worked directly for us globally. They were our thank you for all your hard work and the difference you make.

In a very limited number of countries, we couldn't award shares because of local compliance restrictions, complexity or cost – instead you received a cash alternative equivalent to the value of 150 Rolls-Royce shares, locked for 12 months before this could be paid to you.

Your cash was given as an 'Award', which promised to give you the cash providing you stayed in continuous employment with Rolls-Royce until 12 September 2025.

The value of your cash Award will depend on the Rolls-Royce share price at the time the Award unlocks.

You'll receive the cash equivalent of 150 shares, so to estimate the value, multiply the current share price by 150.

For example, if the share price is £9.50, your gross cash Award would be worth £1,425.00 (£9.50 x 150 shares). Please note, this payment will be subject to any local payroll withholdings.

In September you will receive a gross cash payment equivalent to 150 Rolls-Royce shares. The payment will be calculated by multiplying 150 shares by the closing share price on 12 September 2025 and settled in your next available payroll.

This payment will be subject to local payroll withholdings and payroll deadlines.

You can find this on communications sent to you about Your Shares: Gifted, or on Workday under 'Personal' and then 'IDs'.
